4 Rational for the Inclusion of the Course in the Programme LAC4203 is a core subject for SMSU program.  This course is intended to equip students with knowledge on the applicable law that governs the establishment and management of business organizations, in particular partnerships and companies. This is essential considering that businesses form an important part of trade and the economic sector in Malaysia.

9 Learning outcomes Upon successful completion of this course, students should have the ability to:

  1. display the understanding on the law governing companies in Malaysia (LO2-P4);
  2. explain the legal principles and be familiar with the procedures relevant to the administration and management of a company (LO5-A4); and
  3. measure the significance of adherence to principles of company law (LO8-P4).
10 Transferable skills Students should be able to develop good written and interpersonal communication skills, teamwork, leadership and problem-solving skills through a process of lectures and tutorials.
11 Teaching-Learning and Assessment Strategy Teaching-learning strategy:

The course will be taught through a combination of formal lectures, exercises, group work, using authentic materials, informal activities and various references. Practical experience and collaborative teamwork will be fostered throughout the course. The use of examination and internal reporting assessment will assess the student’s ability to apply theoretical concepts in context.

12 Synopsis This course is designed to educate students to the concepts and legal principles relating to the law of partnership and company law in Malaysia.  The first part of the course will focus on the nature and formation of partnership, as well as the rights and liabilities of partners which are incidental thereto. In the second part, students will be introduced to the law relating to the incorporation of a company, the types of companies and the constitutional documents of a company.
